Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by Holocron AI LLC ("Holocron AI," "we," "us," or "our"), including (a) AI consulting, audits and roadmaps, custom AI builds, and Claude Code setups, (b) the holocronhq.com website and contact form, and (c) the Liz SMS-based patient intake service operated on behalf of dental practices ("Service"). By engaging us, interacting with our website, or using our SMS service, you agree to be bound by these Terms.

1. Service Description

Holocron AI is a solo AI engineering practice. We provide:

• Consulting and product builds — AI audits and roadmaps, Claude Code setups, and custom AI builds for operators. Each engagement is governed by a separate written agreement that defines scope, deliverables, timeline, payment, and intellectual property assignment.
• Liz SMS intake — an automated SMS service that responds to missed calls on behalf of contracted dental practices, conducts patient intake, and routes information to the practice for follow-up.

2. Consulting and Custom Build Engagements

Scope and engagement agreement

AI consulting and custom build engagements (including the Claude Code Setup, AI Audit & Roadmap, and Custom AI Build tiers advertised on holocronhq.com) are delivered under a separate written engagement agreement that supersedes these Terms with respect to scope, deliverables, payment, intellectual property, confidentiality, and warranties for that engagement.

Fixed-price packages

Standard packages are quoted at the prices shown on holocronhq.com at the time you engage us. Pricing is subject to change for new engagements; the price in your signed engagement agreement governs your specific project.

Payment

Unless otherwise stated in your engagement agreement, fixed-price engagements are invoiced upon kick-off. Custom builds are invoiced on a milestone or schedule defined in the engagement agreement. Late payment may delay or pause delivery.

Intellectual property

Unless your engagement agreement provides otherwise, work product delivered to you under a paid engagement is assigned to you on full payment. Holocron AI retains rights to general know-how, internal tooling, frameworks, and prior work that exist independent of your engagement.

Confidentiality

Information you share during scoping or delivery that is reasonably understood to be confidential is treated as confidential and used only to perform the engagement. Your engagement agreement may add a standalone NDA or specific confidentiality provisions.

3. Liz SMS Service

Eligibility and use

The Liz SMS Service is offered to patients who call a dental practice that has contracted with Holocron AI for the Service. You must be at least 18 years old or have the consent of a parent or guardian to receive SMS messages from the Service.

Message frequency

When you engage with our SMS service, message frequency varies. A typical intake conversation involves 3 to 15 messages. You may receive one follow-up message if a conversation is not completed. We do not send recurring marketing messages.

Message and data rates

Message and data rates may apply. You are responsible for any messaging or data charges imposed by your wireless carrier. Contact your carrier for details about your plan.

Opt-out

You may stop receiving SMS messages at any time by replying STOP to any message from our service. You will receive one final confirmation message acknowledging your opt-out. No further messages will be sent unless you re-subscribe.

Re-subscribe

To re-subscribe after opting out, reply START to the number you previously received messages from.

Supported carriers

Our service is compatible with all major US wireless carriers. Carriers are not liable for delayed or undelivered messages.

4. Acceptable Use

By using the Service, you agree not to:

• Provide false, misleading, or fraudulent information through the contact form, during the intake process, or in any correspondence.
• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to interfere with, disrupt, or compromise the integrity or security of the Service.
• Send abusive, threatening, or harassing messages through the Service.
• Attempt to extract, manipulate, or reverse-engineer the AI systems powering the Service.
• Impersonate another individual or provide someone else's personal information without their consent.
• Use automated tools, bots, or scripts to interact with the Service in a way that would degrade it for other users.

We reserve the right to block, limit, or terminate access to the Service for any user who violates these Terms or engages in abusive behavior, and to decline or terminate any consulting engagement at our discretion subject to the terms of the engagement agreement.

5. Accuracy of Information and AI Output

Our consulting work and the Liz SMS Service both rely on artificial intelligence. While we strive for accuracy, AI output is probabilistic and may contain errors. You agree that:

• AI-generated deliverables produced during a consulting engagement are reviewed by us, but should be independently verified by you before relying on them for production, regulatory, or legal decisions.
• The Liz SMS Service does not provide medical or dental advice, diagnosis, or treatment recommendations.
• The Liz SMS Service does not confirm or guarantee appointment availability. All appointments are subject to confirmation by the dental practice.
• The Liz SMS Service may not capture information with 100% accuracy. The dental practice will verify all information provided through the Service.

In a dental emergency, call 911 or visit your nearest urgent care facility. Do not rely on SMS for emergency communication.

6. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

7. Intellectual Property

Except for work product expressly assigned to you under a paid engagement, all content, technology, software, and materials associated with the Service — including holocronhq.com, the Liz intake system, and any underlying frameworks — are owned by Holocron AI LLC and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Holocron AI provides the Service on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.
• We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
• Our total aggregate liability for all claims related to the Service shall not exceed the greater of $100 or the amount paid by you (or by the dental practice on your behalf) to Holocron AI in the three months preceding the claim, except as otherwise provided in a signed engagement agreement.
• We are not responsible for the actions, decisions, or clinical judgment of any dental practice that uses the Liz Service.

9. Indemnification

You agree to indemnify and hold harmless Holocron AI LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved in the state or federal courts located in Laramie County, Wyoming.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
